Fund Administrator Manager

As a Corporate Compliance Fund Administration Manager, you will oversee the key corporate governance activities within the UK office, focusing on the efficient formation and operation of entities, maintaining regulatory compliance, and supporting global business processes. Your role will also involve leadership and mentoring of the team, as well as working closely with other functions, including finance, compliance, legal, and tax advisors.

Key Responsibilities:

Entity Management:

  • Oversee the formation and dissolution of entities.
  • Manage changes in officers and shareholders, ensuring filings are accurate.
  • Oversee statutory books, registers, and minute books.
  • Supervise the filing of documents with the UK Companies House and other offshore registrars.
  • Spearhead the gathering of regulatory requirements for launching offshore vehicles.
  • Ensure the maintenance of accurate records and statutory registers.

Meeting and Documentation:

  • Prepare and distribute board packs, notices, and agendas.
  • Organize and attend meetings, recording minutes and ensuring accurate documentation.
  • Assist with transaction documentation and coordination.
  • Provide company secretarial services.

Financial Oversight:

  • Monitor work in progress, billing, and cost controls.
  • Challenge costs and fees as necessary, recommending deal structuring based on financial and regulatory insights.
  • Assess each deal's context to advise on optimal structuring approaches.
  • Supply the deals team with real-time data to better manage budgets.

Reporting and Compliance:

  • Support teams with regulatory and legal compliance matters.
  • Work closely with the Compliance function to stay updated on the regulatory landscape.
  • Liaise with tax advisors in various jurisdictions to optimise deal structures and ensure compliance.

Team Leadership and Development:

  • Train, mentor, and supervise junior team members.
  • Oversee junior administrators' work and their personal development.
  • Assist in team recruitment and the allocation of new business effectively

Profile Background Requirements:

  • Prior experience in an FCA regulated entity setup is a plus.
  • Minimum 5 years' experience in administration and governance.
  • Institute of Chartered Secretaries (ICSA) or Chartered Governance Institute (CGI) qualifications, or similar Governance, admin, or taxation qualifications (or working towards them).
  • Proficiency in MS Excel.
  • Strong data management skills.
